Terms of Service
These Terms govern the public Numio site and the worldwide, invitation-only private alpha. The public site remains Coming Soon; authentication alone does not grant Admission or access to a Household.
Acceptance and Scope
NUMIO INC. ("Numio", "we", "us", and "our") operates the Numio websites, applications, household budgeting workspace, and related features (the "Service"). By accepting these Terms or using the Service, you agree to them and to the current Privacy Policy. If you do not agree, do not use the Service.
The private alpha is a controlled, evolving service. Access is not a public launch, promise of continued availability, or commitment to add a feature outside the current product.
Eligibility and Admission
You must have reached the age of majority where you ordinarily reside and be able to form a binding agreement. Eligible people may participate worldwide; Ontario-specific budgeting value is not an admission restriction.
Private-alpha Admission is a current Numio-issued grant bound to a verified person. It is separate from Clerk authentication and from a Household Invitation. We may deny, suspend, or revoke Admission for security, legal, eligibility, or alpha-operating reasons.
Represented People
You may identify a non-member only when a competent adult gave permission or you have lawful parent or guardian authority for a minor or dependent. Record only information needed for the Household purpose. Representation gives that person no account, Admission, Membership, or access.
If the person later joins, they choose whether to link, reject, or keep the identities separate. Do not misstate identity or authority.
Manual Financial Records and Your Responsibility
Numio is manual-first. You are responsible for the accuracy, completeness, authority, and legality of information you enter and for reviewing changes before relying on them. Plans, Accounts, Debts, Financial Events, Postings, Allocations, Balance Observations, Recurring Plan Values, reconciliations, reviews, and derived totals depend on confirmed Member records.
Numio does not connect to a bank, verify an institution's statement, guarantee that a record is current, or replace the original financial record. Use explicit correction, relation, reconciliation, or revision tools rather than silently rewriting history.
Acceptable Use
Do not use the Service unlawfully, infringe another person's rights, exceed your authority, interfere with operation, or bypass access, privacy, rate, or security controls.
- Do not access or attempt to discover another Household or person's records.
- Do not introduce malicious code, abuse automation, scrape protected surfaces, or probe security except where applicable law does not allow that restriction.
- Do not use Numio for fraud, deceptive identity or representation, commercial resale, or business bookkeeping.
- Do not place credentials, secrets, or another person's information into fields where Numio does not request them.
Your Content and Service Rights
You retain rights in information you submit. You grant us the limited rights needed to host, process, secure, export, disclose to authorized Household Members and Processors, and otherwise provide the Service according to your instructions, these Terms, and the Privacy Policy.
We and our licensors retain rights in the software, design, brand, and content we provide. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended personal or Household purpose.
Activity, Export, Leaving, and Deletion
Successful material actions create attributable Activity History. A committed Undo is a new compensating action, not deletion of the original. Household Members may request an integrity-signed Household Export; it is not an import, backup, or individual-rights response.
A Member may leave and an Owner may remove a Member. The Owner must transfer ownership before leaving. Household and Numio User deletion use explicit 30-day recovery windows and preserve continuing shared authority as described in the Privacy Policy.
Service Providers and Privacy
Clerk supports authentication, Convex supports application data and file storage, and Vercel supports application delivery. Their services may be unavailable and have their own terms. Our use of personal information is governed by the Privacy Policy and applicable law.
No Professional Advice
The Service does not provide legal, tax, accounting, credit, insurance, investment, or other professional advice and does not create a fiduciary, advisory, or professional-client relationship. Use qualified professionals and authoritative records for decisions that require them.
Availability, Suspension, and Changes
We may suspend a capability or access to contain a security, privacy, legal, integrity, recovery, or operational risk. We may change or discontinue the private alpha. We will not knowingly present an unavailable future capability as a current action.
You may stop using the Service. Provisions that by their nature must survive—including ownership, privacy and retention, disclaimers, liability limits, and governing law—continue after access ends.
Disclaimers
To the fullest extent permitted by law, the private alpha is provided "as is" and "as available" without warranties of any kind, express, implied, or statutory.
We do not warrant uninterrupted or error-free operation, preservation beyond the stated recovery commitments, or the accuracy or fitness of a Household record, calculation, projection, export, or derived total. Nothing in these Terms excludes a right that applicable law does not permit us to exclude.
Limitation of Liability
To the fullest extent permitted by law, NUMIO INC. and its affiliates, officers, employees, contractors, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, data, or use arising from the Service.
To the fullest extent permitted by law, our total liability arising from the Service or these Terms will not exceed the greater of CAD $100 and the amount you paid us for the Service in the 12 months before the event. Mandatory local rights and remedies remain unaffected.
Governing Law and Disputes
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules. Courts located in Ontario, Canada have jurisdiction, except where mandatory law gives you another forum or protection.
